Terms of Service

Effective [EFFECTIVE DATE]

Draft. This page is a working draft for attorney review. It is not in effect yet, and the parts in [brackets] are still to be filled in.

These terms are an agreement between you and Stille Space Inc, a California corporation ("Stille Space," "we," "us"), 1726 N Ventura Ave, Unit A, Ventura, CA 93001. They cover Space by Stille Home ("Space"): the website at stillespace.com, the app at app.stillespace.com, the Space desktop app for Windows and Mac, and the files, drawings and support that come with them. By creating an account, checking the box at sign-up, or using Space, you agree to these terms and to our Privacy Policy. If you use Space for a business, you agree for that business and confirm you can bind it.

1. Who can use Space

You must be at least 18. Space is for planning and building cabinetry and interiors. Homeowners may use it for their own homes; designers and shops may use it for their work.

2. Accounts

Keep your sign-in private. Each paid seat is for one named person; don't share a sign-in between people. You're responsible for what happens under your account. Tell us at hello@stillespace.com if you think someone else has used it.

3. Plans and prices

Prices are in US dollars, before any sales tax.

CNC$199 a month, or $1,990 a yearShop, plus machine files and leads from homeowners and designers3 months, then 12 months (Section 5), or one year paid up front

Every plan includes 1 user. Extra users are $50 a month, or $500 a year on yearly plans. View-only shop-floor logins are free and don't count as users. Each shop gets 10 GB of file storage under fair use. Monthly Basic, Shop and CNC plans start with a 14-day free trial, once per person or shop. We take your card when the trial starts and make the first charge on day 15 unless you cancel before then; we'll email you 3 days before the trial ends. Founding-shop pricing (25% off for the first 25 Shop or CNC shops) lasts [for as long as that shop keeps its plan without a break]; extra users aren't discounted. Homeowners and designers a paying shop invites to view a kitchen don't pay; their use is covered by that shop's plan, and they agree to these terms when they accept the invite.

4. Billing

We bill through Stripe; we never see or store your full card number. Monthly plans are charged on the same day each month, and yearly plans once a year, until cancelled as described below. If a payment fails, we'll email you and try again. If it still hasn't gone through after [14] days, we may pause paid features until it does. You can still sign in and download your kitchens while paused.

5. Monthly plans: 3 months, then 12

When you pay monthly for Basic, Shop or CNC:

  1. Months 1 to 3, counted from your first payment after the free trial, are month to month. You can cancel online at any time, and you won't be charged again.

  2. If you don't cancel before your 4th monthly charge, your plan becomes a 12-month commitment at the same monthly price, starting on that 4th charge date. We'll email you at least [7] days before that date with the date, the price and a cancel link.

  3. During the 12 months, you pay each month and can't end the commitment early. If you stop paying, the remaining monthly payments for the term are still owed. You can turn off renewal online at any time, and it takes effect at the end of the term.

  4. At the end of the 12 months, the plan continues month to month at the same price, and you can cancel online at any time, effective at the end of the month you've paid for. We'll email you 15 to 45 days before the 12 months end.

6. Yearly plans

Yearly plans renew each year unless you turn off renewal; we'll email you 15 to 45 days before. We don't refund partial months or years, except where the law requires it.

7. Drawing sets

A drawing set covers one kitchen. Before you buy, you can preview the drawings with a watermark. Once you pay, the drawings are yours to download, print and share with people working on that kitchen. Each PDF shows your name, email and the kitchen's ID in the footer. Your one free revision covers changes to the same kitchen; a different room is a new drawing set. Because the drawings are delivered as soon as you pay, the $149 isn't refundable after you download them, except where the law requires it. If something is wrong with the drawings because of an error in Space, tell us and we'll fix them.

8. Price changes and cancelling

We'll email you at least 30 days before any price change on your plan. It applies from your next renewal, not in the middle of a 12-month commitment or a prepaid year. Cancel or turn off renewal online under Account → Billing, or by emailing hello@stillespace.com. We'll confirm by email.

9. Your license to use Space

While your account is in good standing, we give you a personal, non-exclusive, non-transferable right to use Space for your own projects, within your plan's limits. Space, its code, its look and its catalogs belong to us or our licensors; you get a right to use them, not ownership. Open-source parts of Space are covered by their own licenses, listed under Legal in the app.

10. What you can't do

  • Copy, resell, rent or sublicense Space, or share a sign-in or license file between people.

  • Reverse engineer, decompile or try to get the source code, except where the law allows it despite this term.

  • Get around plan limits, watermarks, drawing locks or license checks.

  • Use bots or scrapers on Space, overload it, or probe it for weaknesses without our written permission.

  • Use Space to build a competing product.

  • Upload anything unlawful, or anything you don't have the right to share.

11. Your designs and files

Your kitchens, drawings, photos, estimates and files ("your content") stay yours. You let us store, copy, process and display your content only to run Space for you: saving it, syncing it between your devices, showing it to the people you share it with, making backups, and providing support you ask for. We don't sell your content or use it to train AI models. On the free plan, photos, 360° views and view-only links you share carry a small "Designed in Stille Space" mark.

12. Sharing kitchens, estimates and leads

  • Sharing. When you invite someone to a kitchen or send a view-only link, they can see what you share. Anyone with a view-only link can open it, so share links carefully.

  • Estimates. Estimates, prices and acceptances between a shop and its client are between them. Stille Space isn't a party to that deal and doesn't guarantee prices, payment, work or schedules. Typing your name to accept an estimate in Space is an electronic signature.

  • Leads. A homeowner or designer can choose to send a kitchen to a CNC-plan shop near them. We send it only when they ask, and only to the shop they pick or approve. We don't check shops' licenses, insurance or work. Homeowners should check a contractor's license at the California Contractors State License Board (cslb.ca.gov) or their state's board, and get their own written contract. A shop that receives a lead may use the contact details only to answer that request.

13. Check every design and every file before you build or cut

Space is a tool to help you plan and make cabinets. It doesn't replace your own judgment, measurements or safety practices.

  • Measure the site yourself. Drawings are only as accurate as the measurements entered. Check appliance, sink, fixture and hardware sizes against the manufacturer's current installation guides.

  • Drawings aren't stamped plans. Space and its drawings aren't architectural or engineering services. Follow local building codes, and have a licensed professional review anything structural, electrical, plumbing, gas or ventilation.

  • CNC files: you are responsible for every cut. Before running any file Space makes: open and check it in your own software or machine preview; run the air-cut file Space includes; cut a test coupon before production; and set your own tools, tool numbers, speeds, feeds, cut depths, zero point and hold-down. Space's built-in file check catches some mistakes, not all of them.

  • Controls marked "not yet proven." Only the machine controls Space marks as proven have been tested by us on a real machine. Files for any other control are provided as-is: run the air cut and a test cut before every new kind of job.

  • Machine safety. Follow your machine maker's safety rules and training. Never leave a running machine unattended.

14. Other companies' products

Space names cabinet hardware, appliances, paints and other products from other companies so you can plan with them. Their names belong to their owners, who don't sponsor or endorse Space. Sizes, colors and prices for those products are approximate and can change; confirm with the maker or seller before ordering. On-screen colors won't exactly match real paint or materials.

15. The desktop app, updates and support

The desktop app works offline using a license file tied to your account; it checks in when you're online. It updates itself automatically unless you turn that off. The in-app help chat is answered by an AI assistant first, and it can hand your question to a person. AI answers can be wrong, so check anything important with us. If you send us ideas or feedback, we may use them without owing you anything.

16. Warranty

We'll provide Space with reasonable care and fix errors you report within a reasonable time. Apart from that promise, Space is provided "as is" and "as available." To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose, accuracy, and that Space will be uninterrupted or error-free. Some states don't allow these disclaimers, so parts of this section may not apply to you.

17. Limits on our liability

To the extent the law allows:

  1. We aren't liable for indirect or consequential losses, including lost profits or business, ruined or wasted material, damage to tools or machines, downtime, rework, or delays, even if we were told they were possible.

  2. Our total liability for all claims about Space is limited to the greater of (a) what you paid us in the 12 months before the claim arose, or (b) $100.

  3. These limits apply to claims in contract, tort (including negligence) or anything else.

Nothing in these terms limits liability that the law doesn't allow to be limited, such as liability for fraud, willful injury, or violation of law.

18. Your responsibility to us

If you use Space for a business, you'll defend and cover us against claims, losses and reasonable legal costs arising from your content, your projects and the work you do with Space, your dealings with your own clients, or your breach of these terms.

19. Suspension and ending your account

You can close your account at any time, subject to any 12-month commitment in Section 5. We may suspend or close an account that breaks these terms, puts Space or other users at risk, or doesn't pay. Where we reasonably can, we'll warn you first and give you a chance to fix it. Sections 7, 11, 13, 14 and 16 to 23 continue after an account ends.

20. Your data after your account ends

For 30 days after your account ends, you can sign in to download your kitchens and files. After that we delete them from our live systems within 90 days, and from backups as they cycle out. We keep records the law requires, such as payment records.

21. Disputes

If you have a problem, email hello@stillespace.com first and give us 30 days to try to fix it. California law governs these terms, without regard to its conflict-of-law rules. Any lawsuit will be brought in the state or federal courts in Ventura County, California, and both sides agree to those courts. Either side may use small claims court instead, if the claim qualifies.

22. Changes to these terms

We may update these terms. For any change that matters to you, we'll email you and show the new terms in Space at least 30 days before they take effect, and ask you to accept them. If you don't agree, you can cancel before they take effect. Changes don't alter the price or length of a 12-month commitment or prepaid year already under way.

23. General

These terms and the Privacy Policy are the whole agreement between you and us about Space. If a court finds part of them unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. You may not transfer your account or these terms without our written OK. We may transfer them to a company that takes over Space, and we'll tell you if we do. Neither side is responsible for delays caused by events outside its reasonable control. We'll send notices to your account email, and you agree to receive them electronically.
